  Portfolio Communications Online Reputation Audits: Terms and Conditions

1.1 The Portfolio Online Reputation Analysis websites are operated by Portfolio Communications Limited. The references to “we”, “us” and “our” shall be deemed to be references to Portfolio Communications Limited. References to “you” and “your” to be references to a person placing an order via these websites.

2. Scope
2.1 These terms and conditions are a legal agreement between us and apply to your use of our audits including the sale of our services. You must read, agree with and accept all the terms and conditions contained in this Agreement and our privacy policy.

2.2 All contracts between us are of one-off, quarterly or annual duration, as you select/choose. The fee you pay does not oblige you to renew our services beyond the current contract. See also the provisions as to cancellation below. The language of this contract is English. All prices are quoted in pounds sterling (£).

2.3 The media environment that Portfolio Communications uses is based upon aggregated searches provided by Spectrum Consulting. Portfolio offers no guarantee that the data produced by Spectrum is consistent with that emanating from other search engines.

3. Order acceptance
3.1 All orders placed by you are subject to our acceptance. We reserve the right at all times and at our sole discretion to refuse to accept an order for any reason and without liability to you.

3.2 Orders may only be placed by individual customers and corporations purchasing our services other than for resale. (Wholesale customers should contact us direct at the above address by email or fax).

3.3 After you have placed the order with us, we will send you an order acknowledgement and password by email as soon as we can, usually the same day but always within 3 days. This email is only an acknowledgement of receipt and is not an acceptance of your order. The acceptance of your order and a contract of sale between us will not take place until you have paid for our services in full. No payment shall be considered to have been received until we have received payment in cleared funds.

3.4 You can access your order online by use of your username and password.

4. Order placement
4.1 You may browse our website without registering but when you place your order you will need to complete certain fields on an order form.

4.2 You should not disclose or transfer your username or password to any other person and you must notify us immediately if you become aware of any unauthorised use of your username and password. Without prejudice to our rights, we may suspend your access to the website without liability to you if in our reasonable opinion such action is necessary to safeguard the website.

4.3 If for any reason the services shown on our website are not available, are incorrectly priced or incorrectly described, we shall not be obliged to sell you such services.

4.4 We reserve the right to change at any time and without any previous notice the services offered on our website.

4.5 It is vitally important that you carefully check your order with us. We will deliver what you order. Whilst you have a right of cancellation you must exercise this before you start to take services from us.

5. Warranty
Portfolio Communications warrants that the services that you buy will at the time of delivery to you correspond to the description given by Portfolio Communications. Note that you are buying as the organisation you represent and not as a consumer (as defined in Section 12 Unfair Contract Terms Act 1977). No statement, description, information, warranty, condition or recommendation contained in any page of our website, catalogue, list or similar shall be construed to enlarge, vary or override in any way the terms of this clause.

6. Prices
6.1 All prices on the website are quoted in pounds sterling (£).

6.2 Please note that on all orders placed for use of our services outside the UK it is the customer’s responsibility to obtain any licences required and to pay any import duties that may be applicable.

6.3 We may change the prices set out on the website at any time and without any notice. We will however not increase our charges to take effect during a current contract.

6.4 We try to ensure that all prices given on the site are correct. However, mistakes can occur. If we have quoted an incorrect price on the site and if the correct price is lower than that quoted, we will automatically assume that you wish to continue with your order. However if the correct price is higher than that originally quoted, we will contact you to ask if you still want to receive our services.

7. Payment terms
You will be invoiced according to the order you place with us. All invoices to be settled, in full, within 28 days. We reserve the right to suspend your access to the audit website pending full settlement of any outstanding invoices. We have no responsibility for your bank charging you as a result of our processing of your payment in accordance with your order.

8. Cancellation
To cancel your order, please provide us with notice either by letter, fax or email, giving details of your order.

9. Trademarks, Copyright, Intellectual Property
The Portfolio Communications trademark remains the exclusive property of Portfolio Communications Limited and is protected by international and UK copyright and other intellectual property laws.

10. Privacy Statement
Portfolio Communications takes the issue of the privacy and protection of your personal data very seriously. Portfolio is committed to complying with all relevant Data Protection legislation. We do not store the details you give us other than in connection with the transaction you authorise. We will not disclose any of your personal information to anyone outside Portfolio Communications. We may from time to time contact you with regard to our products and services. You can at any time request that we make no further contact with you by emailing us at ORAsupport@portfoliocomms.com. No form of communication over the Internet is totally secure. Portfolio Communications will always use reasonable endeavours to protect the personal information that you give us but we cannot guarantee security totally and in placing an order with us you are acknowledging that you are placing your personal information on the Internet at your own risk.

11. Force Majeure
Each of us shall be released from our respective obligations in the event of national emergency, war, strike, mechanical breakdown, governmental regulation or if any other cause beyond the reasonable control of us renders the performance of the agreement between us impossible.

12. Jurisdiction
This Agreement shall be construed in accordance with the law of England and Wales and shall be subject to the non-exclusive jurisdiction of its courts.
